CONSTITUTION FOR FRIENDS OF THE SCALA                                                             16/05/05

1. NAME

	The name of the group shall be “Friends of the Scala”.

2. OBJECTS

	The objects of the group shall be:
				
	a) To support the proposal for a Scala Arts
	Centre/cinema in Prestatyn.

	b) To promote the proposal for a Scala Arts 
	Centre/cinema in the town of Prestatyn
	And surrounding areas.

	c) Once established, to support the Scala Arts
	Centre/cinema in whatever way is deemed 
	Appropriate and/or necessary.

	d) To have facilities to do so.

3. MEMBERSHIP	

	Membership to the group shall be open to any person irrespective of political party, nationality, religious opinion, race or colour.

4. SUBSCRIPTIONS

	All members shall pay such subscriptions as the Annual General Meeting shall determine, members will only have their right to vote when paid in full.

5.  MANAGEMENT

	
	a)  The group shall be managed by a committee to be proposed, seconded then elected by a show of hands at the AGM.

	b)  The committee shall consist of a Chairperson, Vice Chairperson, Secretary, Minute Secretary, Treasurer, and up to 7 other members.

	c)  If vacancies occur among the officers, the committee shall have the power to fill them from among its members, and co-opt other members of the committee to make up numbers: this is to be done at an extra ordinary meeting called or at the AGM.

	d)  Four members of the committee constitute a quorum.

6. AMENDMENTS

	All amendments will be made by the April meeting prior to the AGM.
	They will be written up and approved at the AGM on the third Monday of May every year.



TO THE CONSTITUTION

A.G.M

	The committee shall arrange an Annual General Meeting to take place in May each year. The purpose shall be: to receive the annual reports and statement of accounts: to accept the resignations of the committee: to elect a new committee: to appoint an independent person to examine the groups statement of accounts and to vote if necessary on proposals to amend the constitution. At least seven days notice of the AGM is to be given to all members.

7. FINANCE

	a) All monies raised by or on behalf of the group shall be applied to further objects of the group and for no other purpose.

	b) The Treasurer shall keep proper account of the finances of the group and shall open a bank account in its name. All cheques will be signed by at least two of the three officers named.

8. DISSOLUTION
	
	If at any time a majority of the committee decide that it is advisable to dissolve the group, it shall call an extra ordinary meeting of members stating the proposed resolution. A simple majority at such a meeting shall confirm such a decision. Any equipment and/or monies left after settlement of debts shall be donated to a charitable organisation operating in the town of Prestatyn, to be decided on a majority vote by the committee.

9. DISIPLINARY

	Order at the meetings must be kept at all times, anyone found disobeying this rule will be warned about their conduct, once a warning is given and the person/persons involved still disobey this rule they will be asked to leave the meeting, refusal to leave by the person/persons will result in the meeting being closed by the Chair.
